1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the advisory, corporate compliance, brand architecture, software engineering, and aviation documentation systems provided by Menporul Consultancy Services ("MCS", "we", "us", or "our").

By entering into a Master Services Agreement, Statement of Work (SOW), or engaging our services, you agree to be bound by these Terms and conditions.

3. Intellectual Property Rights

Client Deliverables

Upon full settlement of contracted milestone fees, clients retain 100% full legal title and ownership of all custom bespoke work products, including final logos, brand guidelines, bespoke source code, and project documentation created specifically for their engagement.

MCS Pre-Existing IP

MCS retains all intellectual property in proprietary software engines, the ADMS core framework, automated filing scripts, and pre-existing code libraries utilized across engagements, granting clients non-exclusive perpetual runtime licenses.

4. Confidentiality & Non-Disclosure

Both parties recognize the highly confidential nature of business architecture, technical source code, and customer records. Both parties mutually covenant to:

Treat all disclosures with enterprise-grade security
Restrict internal access strictly on a need-to-know basis
Safeguard trade secrets beyond contractual termination
Promptly return or cryptographically shred records upon request

5. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be held liable for indirect, incidental, punitive, or consequential damages resulting from third-party server outages or statutory delays by regulatory authorities.

Aggregate liability under any SOW is strictly capped at total advisory or service fees paid by the client under the specific SOW in the preceding 6 months.
